1. Acceptance of Terms

By accessing or using resystausa.com (the "Site"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, do not access or use the Site. "You" and "your" refer to any individual or entity accessing the Site. "We," "us," and "our" refer to Resysta North America, Inc. ("Resysta"), a Delaware corporation headquartered in Miami, Florida.

2. Website Content and Disclaimer

The information on this Site, including product specifications, technical data, colors, dimensions, installation guidance, and other materials, is provided for general informational purposes only.

Product specifications and appearance may vary from what is shown on the Site. Colors displayed on screen may not exactly match actual products due to variations in monitors, display settings, and manufacturing processes.

Site content does not replace project-specific engineering, architectural review, or professional consultation. You are responsible for verifying product suitability for your specific application, including compliance with applicable building codes and standards.

3. Intellectual Property and Prohibited Activities

All content on this Site, including text, graphics, logos, images, product photographs, technical drawings, and software, is the property of Resysta North America, Inc. or its licensors and is protected by U.S. and international intellectual property laws. This does not include content you submit to us (such as contact form inquiries or uploaded project information).

You may view, download, and print pages from this Site for your own personal or internal business use (such as evaluating Resysta products for a project), provided you do not modify the content or remove any copyright or proprietary notices.

You agree not to:

• Reproduce, distribute, or publicly display Site content for commercial purposes without our prior written consent.
• Use any automated system (including bots, scrapers, or data mining tools) to access the Site or extract data.
• Introduce viruses, malware, or other harmful code to the Site.

4. Digital Assets License

Resysta may make digital assets available for download through the Site, including BIM objects, CAD drawing profiles, and other architectural or design files (collectively, "Digital Assets").

License Grant: Subject to these Terms, we grant you a revocable, non-exclusive, non-transferable, limited license to download, install, and use Digital Assets solely for the purpose of evaluating, specifying, or incorporating Resysta products into architectural or construction projects.

Restrictions: You may not:

• Sell, sublicense, rent, lease, or distribute Digital Assets to third parties;
• Modify or create derivative works of Digital Assets except as reasonably necessary for project integration;
• Reverse engineer, decompile, or disassemble Digital Assets;
• Use Digital Assets in connection with products or services that compete with Resysta.

No Warranty: Digital Assets are provided "as is" without warranty of any kind, express or implied. Resysta does not warrant that Digital Assets are error-free or suitable for any particular purpose. You are responsible for verifying all dimensions, specifications, and compatibility with your design software.

Termination: This license terminates automatically if you breach any of these Terms. Upon termination, you must promptly delete all copies of Digital Assets in your possession or control.

5. Limitation of Liability and Indemnification

5.1 Exclusion of Damages: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RESYSTA NORTH AMERICA, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SITE, SITE CONTENT, OR DIGITAL ASSETS, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

5.2 Aggregate Liability Cap: OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100.00).

5.3 Indemnification: You agree to indemnify and hold harmless Resysta North America, Inc., its affiliates (including Resysta International, GmbH), and their respective officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your violation of these Terms; (b) your use of the Site, Site content, or Digital Assets; or (c) any content or information you submit through the Site.

6. Governing Law, Jurisdiction, and Third-Party Links

6.1 Governing Law: These Terms are governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict-of-law principles.

6.2 Jurisdiction: Any legal action or proceeding arising out of or relating to these Terms or your use of the Site shall be brought exclusively in the state or federal courts located in Miami-Dade County, Florida. You irrevocably consent to the personal jurisdiction and venue of those courts and waive any objection based on inconvenient forum or lack of jurisdiction.

6.3 Third-Party Links: The Site may contain links to websites operated by third parties. Resysta does not control, and is not responsible for, the content, privacy practices, or availability of any third-party website. Inclusion of a link on the Site does not imply endorsement of, or affiliation with, the linked website or its operator.
